End User License Agreement (EULA)
Effective Date: July 17, 2025
This End User License Agreement (“Agreement”) governs your use of the SolvPro Software-as-a-Service platform (“SolvPro” or the “Service”), operated by Solvrix, Inc. (“Company,” “we,” “our,” or “us”). By accessing or using SolvPro, you (“you” or the “User”) agree to be bound by this Agreement. If you do not agree to this Agreement, you must not use the Service.
1. License Grant
Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the SolvPro platform solely for your internal business or personal use during the Term.
2. User Accounts and Access
You may be required to create an account and provide certain information to access SolvPro. You agree to maintain the accuracy and security of your account credentials. You are responsible for all activities that occur under your account.
If you authenticate your SolvPro account using a Google Account, you consent to share necessary information with Google as per Google’s API Services User Data Policy, including the Limited Use requirements. SolvPro’s use and transfer of information received from Google APIs will adhere to these policies.
3. Use Restrictions
You shall not:
- Copy, modify, reverse-engineer, or create derivative works of the SolvPro platform.
- Sell, lease, rent, or otherwise make SolvPro available to third parties.
- Use SolvPro in a manner that violates any applicable laws or infringes upon third-party rights.
- Interfere with the security or performance of the Service.
4. Data and Privacy
Your use of SolvPro is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. You retain ownership of your data, but you grant us a license to use it to provide the Service.
SolvPro uses industry-standard security measures and complies with applicable data protection laws, including provisions required under GDPR, CCPA, and Google OAuth 2.0 policies when applicable.
5. Third-Party Services
SolvPro may integrate with third-party services (such as Google APIs). Your use of such services is governed by the respective third-party’s terms. We are not responsible for any data loss or security breach arising from third-party integrations.
6. Google API Services Disclosure
SolvPro's use and transfer of information received from Google APIs to any other app shall adhere to Google API Services User Data Policy, including the Limited Use requirements. We do not use or transfer your data for purposes other than providing core features of SolvPro.
7. Fees and Payment
Access to SolvPro may require payment of fees. Subscription terms, including billing, auto-renewal, cancellation, and refund policies, are provided during the checkout process and are incorporated by reference into this Agreement.
8. Term and Termination
This Agreement remains in effect until terminated. You may terminate at any time by ceasing use of SolvPro. We may suspend or terminate your access for violation of this Agreement, suspected fraudulent behavior, or non-payment.
Upon termination, your license to use SolvPro is revoked, and we may delete your data after a retention period in accordance with our Privacy Policy.
9. Intellectual Property
All rights, title, and interest in and to the SolvPro platform (excluding user data) are owned by Solvrix, Inc. No rights are granted to you other than those expressly stated in this Agreement.
10. Disclaimer of Warranties
SolvPro is provided “AS IS” and “AS AVAILABLE,” without warranty of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, Solvrix, Inc. shall not be liable for indirect, incidental, special, or consequential damages arising out of your use of or inability to use the Service.
12. Modifications
We reserve the right to modify this Agreement at any time. If changes are material, we will provide notice through the Service or by email. Continued use of the Service after such changes constitutes your consent.
13. Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts located in Wilmington, Delaware.
